Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Signalyn platform, website, and related services (collectively, the "Services") provided by Signalyn Ltd ("Signalyn", "we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Definitions

• "Customer" means the organisation or individual that has entered into a subscription agreement with Signalyn.
• "User" means any individual who accesses the Services under a Customer account.
• "Platform" means the Signalyn software application and associated infrastructure.

2. Eligibility

You must be at least 18 years old and have the authority to bind your organisation to these Terms. By using the Services, you represent that you meet these requirements.

3. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at security@signalyn.io if you suspect unauthorised access to your account.

4. Subscription and Payment

Access to the Platform is provided on a subscription basis as agreed in your order or service agreement. Fees are due in accordance with the payment terms set out in that agreement. We reserve the right to suspend access for non-payment after reasonable notice.

5. Acceptable Use

Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Services in any manner that violates applicable law or the rights of any third party.

6. Intellectual Property

All intellectual property rights in the Platform, including software, design, trademarks, and content, are owned by or licensed to Signalyn. These Terms do not grant you any ownership rights. You are granted a limited, non-exclusive, non-transferable licence to use the Services for your internal business purposes during the subscription term.

7. Customer Data

You retain ownership of all data you upload or input into the Platform ("Customer Data"). You grant Signalyn a limited licence to process Customer Data solely to provide the Services. We will handle Customer Data in accordance with our Privacy Policy and any applicable data processing agreement.

8. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. This obligation survives termination of these Terms for a period of three years.

9. Warranties and Disclaimers

We warrant that the Services will perform materially in accordance with our documentation. To the maximum extent permitted by law, we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Signalyn's total aggregate liability to you for any claims arising under or in connection with these Terms shall not exceed the fees paid by you in the twelve months preceding the claim. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold harmless Signalyn and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

12. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach upon 30 days' written notice if the breach is not cured within that period. Upon termination, your access to the Services will cease and we will delete your Customer Data within 90 days, unless required by law to retain it.

13. Modifications

We may update these Terms from time to time. We will provide at least 30 days' notice of material changes. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
